Acceptance of Terms

By accessing, browsing, or using the services provided by fvcdebordment B.V. ("fvcdebordment," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not access or use our services.

These terms apply to all users of our services, including visitors, registered users, and customers who purchase our developer tools and solutions.

fvcdebordment provides developer tools and solutions including but not limited to:

• Code analysis and quality assessment tools
• Performance optimization and monitoring solutions
• Security scanning and vulnerability assessment tools
• Deployment automation and CI/CD integration services
• Technical support and consulting services
• Related software development tools and utilities

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to users.

User Accounts and Registration

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or have reached the age of majority in your jurisdiction to create an account.

User Obligations and Acceptable Use

When using our services, you agree to comply with all applicable laws and regulations. You must not:

Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and design, are owned by fvcdebordment or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes. This license does not include the right to:

• Sublicense, sell, or distribute our services
• Modify or create derivative works
• Remove or alter any proprietary notices
• Use our trademarks without written permission

Payment Terms and Billing

For paid services, you agree to pay all fees according to the pricing and payment terms presented to you. Unless otherwise specified:

• All fees are in Euros (EUR) and exclude applicable taxes
• Subscription fees are billed in advance on a monthly or annual basis
• Payment is due immediately upon invoice receipt
• Late payments may result in service suspension
• All sales are final unless otherwise specified

We reserve the right to change our pricing with 30 days' notice to existing customers.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

Service Availability and Support

While we strive to provide reliable services, we do not guarantee uninterrupted access. We may experience downtime for maintenance, updates, or due to factors beyond our control. We provide support during our business hours (Monday-Friday, 10:00 AM - 7:00 PM CET/CEST) and will respond to support requests within a reasonable time frame.

Limitation of Liability

To the maximum extent permitted by applicable law, fvcdebordment shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or relating to your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the services during the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be error-free, secure, or available at all times. You use our services at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless fvcdebordment, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any rights of another party.

Termination

Either party may terminate the service agreement at any time with appropriate notice:

• You may cancel your subscription at any time through your account settings
• We may suspend or terminate your access for violation of these terms
• We may discontinue services with 30 days' notice
• Upon termination, your right to use our services ceases immediately
• We will retain your data according to our Privacy Policy and applicable law

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands.

For EU residents, you may also have the right to bring proceedings in the courts of your country of residence.

Dispute Resolution

Before initiating any formal legal proceedings, we encourage you to contact us directly to resolve any disputes. We are committed to working with our customers to find mutually acceptable solutions.

If you are a consumer in the European Union, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new terms.

If you do not agree to the modified terms, you must stop using our services and may cancel your subscription.

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by fvcdebordment, constitute the entire agreement between you and fvcdebordment regarding your use of our services and supersede any prior agreements.
